PRIVACY POLICY

Effective Date: July 30, 2026

Overland Priority LLC (“Overland Priority,” “we,” “us,” or “our”) respects the privacy of our customers, carriers, users, website visitors, and other individuals whose information we process.

This Privacy Policy explains how we collect, use, disclose, store, and protect information in connection with our websites, applications, software, services, and business operations, including overlandpriority.com, OP Intel, carrier dispatch services, billing systems, communications tools, and connected third-party services.

By using our services or providing information to us, you acknowledge the practices described in this Privacy Policy.

1. INFORMATION WE COLLECT

The information we collect depends on how you interact with Overland Priority and which services you use.

BUSINESS AND CONTACT INFORMATION

We may collect information such as:

• Name
• Business name
• Email address
• Telephone number
• Mailing or business address
• Job title or role

• Motor carrier authority
• Insurance
• Trucks and trailers
• Equipment specifications
• Drivers
• Driver assignments
• Scheduling and availability
• Hours-of-service or ELD-related operational information
• Compliance records
• Safety-related information
• Permits and operating documentation

Overland Priority uses this information to support dispatch, operational planning, carrier qualification, compliance-support functions, and related services.

LOAD AND TRANSPORTATION INFORMATION

We may collect and process information concerning freight and transportation activity, including:

• Load opportunities
• Pickup and delivery locations
• Appointment information
• Broker or shipper information
• Linehaul rates
• Fuel surcharges
• Accessorial charges
• Route information
• Mileage
• Load status
• Delivery status
• Negotiation records
• Carrier load approvals

DOCUMENTS

Users may provide documents including:

• Rate confirmations
• Bills of lading
• Proof-of-delivery documents
• Carrier packets
• Insurance certificates
• Authority records
• Invoices
• Receipts
• Load-related documents
• Other business or operational records

We may use automated document-processing technology, including optical character recognition, document extraction, and artificial-intelligence-assisted tools, to help organize or extract information from these documents.

Manual Review may be used where appropriate before information is relied upon for material operational or billing decisions.

2. BILLING AND PAYMENT INFORMATION

Overland Priority may use authorized third-party payment processors to manage customer billing, payment authorization, ACH payments, invoices, credits, refunds, and related payment activity.

When payment information is entered through an authorized payment processor, sensitive bank-account information may be processed through that provider’s systems.

Overland Priority may retain payment-related identifiers and information necessary to manage billing, such as:

• Payment-processor customer identifiers
• Payment-method identifiers
• Payment authorization status
• Bank-account type
• Limited account-identification information
• Invoice information
• Payment status
• Payment history
• Refund or credit information

Overland Priority does not need to store a customer’s online-banking username or password in order to use authorized payment-processing services.

3. ACCOUNTING INFORMATION

Overland Priority may connect OP Intel or related services with authorized third-party accounting or bookkeeping services.

When an accounting connection is authorized, we may access, create, receive, transmit, or process accounting information reasonably necessary for the authorized integration, including information such as:

• Customer records
• Products and services
• Invoices
• Accounts receivable
• Payments
• Transaction references
• Accounting identifiers
• Reconciliation information
• Related accounting records

We use connected accounting data only for authorized business and accounting functionality, including creating accounting records, supporting reconciliation, maintaining financial records, and operating the services requested by the user.

We do not use connected accounting data for unrelated advertising.

We do not sell connected accounting data.

We do not use connected accounting data to build advertising profiles unrelated to the services provided by Overland Priority.

Users may disconnect an accounting integration through available provider connection-management controls or by contacting Overland Priority.

Disconnecting an integration stops future authorized access through that connection. Information previously obtained may be retained where reasonably necessary for legitimate business records, accounting, tax, security, dispute resolution, legal compliance, or other lawful retention requirements.

4. COMMUNICATIONS INFORMATION

When you communicate with Overland Priority, we may process communications through email, telephone, text messaging, website forms, OP Intel, or other communication channels.

This may include:

• Email messages
• Text messages
• Call information
• Contact details
• Attachments
• Communication timestamps
• Conversation history
• Customer-service records
• Dispatch-related communications
• Broker communications

Where legally permitted, communications may be retained for operational, customer-service, security, documentation, training, dispute-resolution, or quality-control purposes.

5. SMS AND TEXT MESSAGING PRIVACY

Overland Priority offers an optional, non-marketing text messaging program for individuals who expressly consent to receive operational SMS communications. These communications may relate to carrier applications, dispatch coordination, customer support, pickup and delivery activity, appointment and scheduling changes, estimated arrival times, or shipment status.

When an individual provides SMS consent, we may record their mobile telephone number, consent selection, the version of the disclosure presented, the date and time of the selection, and associated application or account information. We may also maintain records of messaging preferences, opt-out requests, and related communications to honor those choices and document compliance.

SMS consent is voluntary and is not required to submit a carrier application or purchase services. Consent provided by one individual does not authorize us to send texts to another individual, including a driver, broker, or other carrier representative.

Recipients may opt out of operational text messages by replying STOP or request assistance by replying HELP. They may also contact admin@overlandpriority.com. Additional program disclosures, including message frequency and potential carrier charges, appear in our Terms of Use.

We may disclose mobile numbers, message content, and related records to authorized telecommunications and messaging service providers as reasonably necessary to deliver texts, process replies and opt-out requests, maintain program records, protect against misuse, or comply with law. We do not sell or share mobile numbers, SMS opt-in information, or text messaging consent with third parties or affiliates for their own marketing or promotional purposes.

6. INFORMATION COLLECTED THROUGH OP INTEL

OP Intel is Overland Priority’s proprietary operations and decision-support platform.

Depending on the services being used, OP Intel may process information concerning:

• Carriers
• Drivers
• Equipment
• Loads
• Brokers
• Facilities
• Routes
• Market conditions
• Documents
• Communications
• Billing
• Payments

• User activity

OP Intel may combine authorized information from multiple systems to support workflow automation, operational analysis, reporting, document processing, scheduling, route evaluation, billing, reconciliation, and decision support.

7. INFORMATION FROM THIRD-PARTY SERVICES

Third-party providers may be added, replaced, or discontinued as our services, technology, and operational needs evolve. Overland Priority is not required to publicly identify every service provider used in delivering the services except where disclosure is required by applicable law or otherwise addressed in this Privacy Policy.

14. CONNECTED-SERVICE AUTHORIZATION AND REVOCATION

When you authorize Overland Priority to connect to a third-party service, that authorization permits us to access information within the scope approved by you and the provider.

You may revoke access through the applicable third-party provider where that functionality is available or by contacting us.
